MPC Bylaws

The MPC Bylaws were adopted in 1976 and have not been changed since then.  Session recently appointed a task force to review the Bylaws to determine if any changes were warranted. The task force, comprised of Linda Benson, Tom Davies, Cindy Gullikson and Susanne Lea, began meeting in February 2012.  Since then we have reviewed bylaws from other local Presbyterian congregations; the Presbyterian Church U.S.A.’s sample bylaws developed to reflect the polity of the Book of Order’s New Form of Government; and pertinent provisions of California law on nonprofit corporations.

Following extensive review and discussion, the task force proposes several changes as reflected in the attached Proposed Bylaws.   Major changes include the following:

  • Editorial changes to simplify and modernize language and formatting.
  • Name correction to track the name of the church set forth in the Articles of Incorporation.
  • Reduction in the number of session members from 15 to 12, reflecting consistency with the size of our present membership and alignment with similarly-sized Presbyterian churches.
  • Reduction in the nominating committee from 8 to 6 members, plus elimination of alternates.
  • Clarification that nominating committee members must be “active members” of the congregation as defined in the Book of Order.
  • Elimination of corporate vice president position and other clarification about corporate officers.
  • Addition of generic language detailing power and role of session.
